Key Terms

Basket:

The notes are linked to a basket consisting of the Dow Jones — AIG Commodity IndexSM (“DJAIG Index”) and the S&P GSCI™ Precious Metals Index Excess Return (“S&P GSCI Precious Metals Index”, Bloomberg symbol “SPGCPMP”) (each a “Basket Component,” and together, the “Basket Components”)

Component Weightings:

The DJAIG Index Weighting (“AIG Commodity Weighting”) is 75% and the S&P GSCI™ Precious Metals Index Weighting (the “S&P Precious Metals Weighting”) is 25% (each a “Component Weighting,” and collectively, the “Component Weightings”).

Payment at Maturity: At maturity, you will receive a cash payment, for each $1,000 principal amount note, of $1,000 plus the Additional Amount, which may be zero but will not be more than the Maximum Return.

Additional Amount:

The Additional Amount per $1,000 principal amount note paid at maturity will equal $1,000 x the Basket Return x the Participation Rate; provided that the Additional Amount will not be less than zero or more than the Maximum Return of 95%*. For example, if the Basket Return is greater than 95% and the Participation Rate is 100%**, the Additional Amount will be equal to the Maximum Return of 95%* which entitles you to a payment at maturity of $1,950 for every $1,000 principal amount note.

Maximum Return: At least 95%*.
  *The actual Maximum Return will be determined on the pricing date and will not be less than $950 per $1,000 principal amount note (or 95% x $1,000).

Participation Rate:

At least 100%.**

  **The actual Participation Rate will be determined on the pricing date and will not be less than 100%.

An investment in the notes involves significant risks. Investing in the notes is not equivalent to investing directly in the Basket Components or any of the commodities underlying the Basket Components. Sensitivity Analysis — Hypothetical Payment at Maturity for Each $1,000 Principal Amount Note

The following table illustrates the payment at maturity (including, where relevant, the payment of the Additional Amount) for a $1,000 principal amount note for a hypothetical range of performance for the Basket Return from -80% to +80% and assumes a Participation Rate of 100%, a Maximum Return of $950 per $1,000 principal amount note (or 95% x $1,000) and an Initial Basket Level of 100. The following results are based solely on the hypothetical example cited. You should consider carefully whether the notes are suitable to your investment goals. The numbers appearing in the following table have been rounded for ease of analysis.

Hypothetical Examples of Amounts Payable at Maturity

The following examples illustrate how the total returns set forth in the table above are calculated.

Example 1: The level of the Basket increases from the Initial Basket Level of 100 to an Ending Basket Level of 120. Because the Ending Basket Level of 120 is greater than the Initial Basket Level of 100 and the Basket Return of 20% multiplied by the Participation Rate of 100% does not exceed the hypothetical Maximum Return of 95%, the Additional Amount is equal to $200 and the final payment at maturity is equal to $1,200 per $1,000 principal amount note, calculated as follows:

$1,000 + ($1,000 x [(120-100)/100] x 100%) = $1,200

Example 2: The level of the Basket decreases from the Initial Basket Level of 100 to an Ending Basket Level of 80. Because the Ending Basket Level of 80 is lower than the Initial Basket Level of 100, the final payment per $1,000 principal amount note at maturity is the principal amount of $1,000.

Example 3: The level of the Basket increases from the Initial Basket Level of 100 to an Ending Basket Level of 210. Because the Ending Basket Level of 210 is greater than the Initial Basket Level of 100 and the Basket Return of 110% multiplied by the Participation Rate of 100% is greater than the hypothetical Maximum Return of 95%, the Additional Amount is equal to the hypothetical Maximum Return of $950 and the final payment at maturity is equal to $1,950 per $1,000 principal amount note.

The following graphs show the historical weekly performance of the Dow Jones — AIG Commodity IndexSM and the S&P GSCI™ Precious Metals Index Excess Return, as well as the Basket as a whole from January 3, 2003 through April 18, 2008. The closing levels of the Dow Jones — AIG Commodity IndexSM and the S&P GSCI™ Precious Metals Index Excess Return on April 18, 2008 were 214.310 and 142.29, respectively. We obtained the various Basket Component closing levels below from Bloomberg Financial Markets.
