(2)

Pursuant to Rule 457(p) under the Securities Act of 1933, unused filing fees of $150,206.04 have already been paid with respect to unsold securities that were previously registered pursuant to a Registration Statement on Form S-3ASR (No. 333-130051) filed by JPMorgan Chase & Co. on December 1, 2005, and have been carried forward. A $86.99 filing fee (which is included in the $87.10 fee with respect to the $1,561,000 notes sold pursuant to this registration statement) was offset against previously paid filing fees with respect to $1,599,000 of notes in this offering in pricing supplement no. 333 dated October 27, 2009 to Registration Statement No. 333-155535 filed by JPMorgan Chase & Co., which pricing supplement no. 333 was filed on October 29, 2009. The additional $0.11 fee due with respect to this offering is offset entirely against the $150,206.04 unused filing fees. As a result, $150,205.93 remains available for future registration fees. No additional registration fee has been paid with respect to this offering.

Payment at Maturity:

If the Ending Index Level is greater than the Initial Index Level, at maturity you will receive a cash payment that provides you with a return per $1,000 principal amount note equal to the Index Return multiplied by two, subject to a Maximum Total Return on the notes of 16%. For example, if the Index Return is equal to or greater than 8%, you will receive the Maximum Total Return on the notes of 16%, which entitles you to a maximum payment at maturity of $1,160 for every $1,000 principal amount note that you hold. Accordingly, if the Index Return is positive, your payment at maturity per $1,000 principal amount note will be calculated as follows, subject to the Maximum Total Return:

$1,000 + [$1,000 × (Index Return x 2)]

Your principal is protected against up to a 10% decline of the Index at maturity. If the Ending Index Level is equal to or declines from the Initial Index Level by up to 10%, you will receive the principal amount of your notes at maturity.

If the Ending Index Level declines from the Initial Index Level by more than 10%, you will lose 1% of the principal amount of your notes for every 1% that the Index declines beyond 10% and your payment at maturity per $1,000 principal amount note will be calculated as follows:

$1,000 + [$1,000 × (Index Return + 10%)]

If the Ending Index Level declines from the Initial Index Level by more than 10%, you could lose up to $900 per $1,000 principal amount note.

Selected Risk Considerations

An investment in the notes involves significant risks. Investing in the notes is not equivalent to investing directly in the Index or in any of the component securities of the Index. These risks are explained in more detail in the “Risk Factors” section of the accompanying product supplement no. 39-A-IV dated July 10, 2009.

What Is the Total Return on the Notes at Maturity Assuming a Range of Performance for the Index?

The following table, graph and examples illustrate the hypothetical total return at maturity on the notes. The Ending Index Level used to calculate the Index Return is not subject to any tracking error. The “total return” as used in this pricing supplement is the number, expressed as a percentage, that results from comparing the payment at maturity per $1,000 principal amount note to $1,000. The hypothetical total returns set forth below assume an Initial Index Level of 1000 and reflect the Maximum Total Return of 16%. The hypothetical total returns set forth below are for illustrative purposes only and may not be the actual total returns applicable to a purchaser of the notes. The numbers appearing in the following table and graph and in the examples on the following page have been rounded for ease of analysis.

The following graph demonstrates the hypothetical total return on the notes at maturity for a sub-set of the Index Returns detailed in the table above (-30% to 30%). Your investment may result in a loss of up to 90% of your principal at maturity.

Hypothetical Examples of Amounts Payable at Maturity

The following examples illustrate how the total returns set forth in the table on the previous page are calculated.

Example 1: The level of the Index increases from the Initial Index Level of 1000 to an Ending Index Level of 1050. Because the Ending Index Level of 1050 is greater than the Initial Index Level of 1000 and the Index Return of 5% multiplied by 2 does not exceed the Maximum Total Return of 16%, the investor receives a payment at maturity of $1,100 per $1,000 principal amount note, calculated as follows:

$1,000 + [$1,000 x (5% × 2)] = $1,100

Example 2: The level of the Index decreases from the Initial Index Level of 1000 to an Ending Index Level of 900. Although the Index Return is negative, because the Ending Index Level of 900 is less than the Initial Index Level of 1000 by not more than the Buffer Amount of 10%, the investor receives a payment at maturity of $1,000 per $1,000 principal amount note.

Example 3: The level of the Index increases from the Initial Index Level of 1000 to an Ending Index Level of 1200. Because the Ending Index Level of 1200 is greater than the Initial Index Level of 1000 and the Index Return of 20% multiplied by 2 exceeds the Maximum Total Return of 16%, the investor receives a payment at maturity of $1,160 per $1,000 principal amount note, the maximum payment on the notes.

Example 4: The level of the Index decreases from the Initial Index Level of 1000 to an Ending Index Level of 700. Because the Index Return is negative and the Ending Index Level of 700 is less than the Initial Index Level of 1000 by more than the Buffer Amount of 10%, the investor receives a payment at maturity of $800 per $1,000 principal amount note, calculated as follows:

$1,000 + [$1,000 × (-30% + 10%)] = $800

Example 5: The level of the Index decreases from the Initial Index Level of 1000 to an Ending Index Level of 0. Because the Index Return is negative and the Ending Index Level of 0 is less than the Initial Index Level of 1000 by more than the Buffer Amount of 10%, the investor receives a payment at maturity of $100 per $1,000 principal amount note, which reflects the principal protection provided by the Buffer Amount of 10%, calculated as follows:

$1,000 + [$1,000 × (-100% + 10%)] = $100
